A Career Built on Complex Transactions

Mr. Torres graduated from the University of Pennsylvania Law School in 1987, where he served as Editor-in-Chief of the Penn Law Forum. He has spent his career helping clients negotiate and close complex corporate transactions — securities offerings both public and private, mergers and acquisitions, and cross-border joint ventures.

His work spans the private placement of equity and debt securities; the licensing, distribution, and production of entertainment content; and general corporate, limited liability company, and business matters. He has represented companies large and small in their day-to-day operations, and a significant portion of his practice involves preparing offering documents for real estate investment clients.

EB-5 Practice

Mr. Torres has been deeply immersed in the EB-5 industry, where he represents regional centers and projects on corporate structuring and securities offerings. His EB-5 work spans hotel development, multi-family residential construction, senior independent living complexes, healthcare companies, restaurants, and franchise concepts. To date, he has counseled on EB-5 and other offerings for projects valued at more than $5 billion.

He speaks frequently at EB-5 conferences on securities issues and is a member of the EB-5 SEC Roundtable, a group of distinguished securities law practitioners in the EB-5 space. He serves on IIUSA’s President’s Advisory Council and on its Compliance, Public Policy, and Editorial Committees, as well as on the Steering Committee of the EB-5 Investment Coalition.

Before Torres Law

Mr. Torres previously practiced corporate and securities law at Schulte Roth & Zabel in New York City and Greenberg Traurig in Miami. He served as Senior Vice President and General Counsel of Telemundo Group, the Spanish-language television network, and of HBO Latin America, the premier cable programmer in Latin America.
