Overview

Torres Law represents borrowers and lenders across a broad range of commercial finance transactions, bringing technical precision to loan documentation and a practical understanding of deal economics from both sides of the table. Our commercial real estate finance practice covers acquisition loans, construction financing, bridge loans, and permanent financing for projects ranging from multifamily residential to hospitality and mixed-use development. We handle every document in the loan package — from loan agreements and promissory notes to mortgage instruments, guaranty agreements, and UCC filings.

Our EB-5 finance practice is among the most specialized in the country. We structure and document the loan arrangements between EB-5 regional centers or NCEs and the job-creating entities (JCEs) that deploy investor capital into qualifying projects. This includes drafting loan agreements that satisfy USCIS requirements, structuring intercreditor arrangements with senior lenders, and ensuring that documentation supports investors’ I-526E petition filings. Our experience spanning hundreds of EB-5 closings gives clients confidence that their capital structure will withstand regulatory scrutiny.

Torres Law also handles refinancings, loan modifications, mezzanine and preferred equity financings, and workout and restructuring matters. When transactions become distressed, we represent both creditors seeking to enforce their remedies and borrowers negotiating forbearance or restructuring arrangements.
