Osvaldo F. Torres, Esq.

Osvaldo F. Torres, Esq. (“Ozzie”) is a 1987 graduate of the University of Pennsylvania Law School where he served as Editor-in-Chief of the Penn Law Forum. He is rated AV® Preeminent by Martindale-Hubbell. For over 30 years Mr. Torres has focused on assisting clients negotiate and effect complex corporate transactions, securities offerings, mergers and acquisitions and other sophisticated deals.

Mr. Torres is immersed in blockchain and initial coin offering matters and is versed in the securities compliance issues impacting the industry. He has structured and prepared exempt offerings for companies in a wide variety of industries, including real estate (hotel, multifamily and commercial), FinTech, medical device, franchises and others under Regulation D (pursuant to 506(b) and 506(c)) and international offerings under Regulation S.

  Mr. Torres also has extensive experience relating to the EB-5 investment visa program, where his rich experience in complex legal matters has allowed him to successfully represent regional centers and projects with their corporate structuring and securities offerings matters. Mr. Torres  frequently speaks at EB-5 conferences on securities issues and other aspects of the EB-5 practice .  He is a founding member of the EB-5 SEC Roundtable, an independent group of the top securities attorneys in the EB-5 space. He also serves on IIUSA’s Leadership , Public Policy and Editorial Committees, and ranked a Top 15 EB-5 Securities Attorney by EB-5 Investors Magazine. .

Additionally, Mr. Torres has significant experience in broadcast, cable and other media matters, having served as Senior Vice President and General Counsel for Telemundo Group, the Spanish-language television network, and for HBO Latin America Group, the premiere cable programmer in Latin America. Such matters have included production, affiliation, licensing, cable operator, transmission and talent agreements.

In the international arena, Mr. Torres has worked on hundreds of agreements involving clients or projects in countries throughout Asia (including China, Hong Kong, Vietnam and India) and Latin America and the Caribbean (including in Mexico, Brazil, Venezuela, Colombia, Argentina, Dominican Republic, Puerto Rico, Trinidad & Tobago and Aruba). Such matters have included joint venture, acquisition, manufacturing, licensing, agency and other agreements.

Prior to founding Torres Law, Mr. Torres worked as a corporate and securities attorney at several large and prestigious firms, including Schulte Roth & Zabel in New York City and Greenberg Traurig in Miami.

Mr. Torres considers himself, above all, a deal lawyer and his principal goal is to see clients’ deals successfully close.

R. William Cornelius, Esq.

Mr. Cornelius is an Associate Attorney at Torres Law, P.A., and currently works on general corporate matters as well as offering documents for private placements and EB-5 investments.  Mr. Cornelius is a 2014 graduate of Nova Southeastern University’s Shepard Broad Collage of Law, and is a member of the Florida Bar. Mr. Cornelius received his Bachelors of Science degree in Sports Management from Guilford College in Greensboro, North Carolina.

Nathalie Perez Vargas, Esq.

Ms. Perez is an Associate Attorney at Torres Law, P.A., and currently works on general corporate matters as well as offering documents for private placements and EB-5 investments.  Ms. Perez is a 2021 cum laude graduate of Nova Southeastern University’s Shepard Broad College of Law, and is a member of the Florida Bar. Ms. Vargas received her Bachelors of Arts degree in 2017 from Florida International University, where she majored in political science, with a minor in international relations.
